Terms of Service

1. Acceptance of Terms

By accessing or using HavenClaw ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

HavenClaw is a managed platform for deploying and operating AI agents. The Service provides isolated compute environments, messaging channel integrations, scheduling capabilities, and a management dashboard. AI capabilities are powered by third-party models (currently Claude by Anthropic).

3. Accounts

You must create an account to use HavenClaw. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to use HavenClaw to:

• Violate any applicable law, regulation, or third-party rights
• Generate, store, or distribute harmful, abusive, or illegal content
• Attempt to gain unauthorized access to other users' agents, data, or container environments
• Interfere with or disrupt the Service or its underlying infrastructure
• Use the Service for cryptocurrency mining, distributed attacks, or other resource-abusive activities
• Resell or redistribute the Service without our written consent
• Circumvent usage limits, rate limits, or access controls

5. AI Agent Responsibility

You are responsible for the actions your AI agents take, including messages sent through connected channels (Slack, WhatsApp, Signal), scheduled tasks, and any external interactions. AI agents may produce inaccurate or unexpected outputs. You should review agent behavior and are responsible for any consequences of agent actions taken on your behalf.

6. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. AI usage credits are consumed as your agents operate. You are responsible for all charges incurred under your account. We reserve the right to change pricing with 30 days' notice. Refunds are provided at our discretion.

7. Intellectual Property

You retain ownership of all data, content, and configurations you create within HavenClaw. We retain ownership of the Service itself, including its software, design, and documentation. You grant us a limited license to host and process your data solely to operate the Service.

8. Third-Party Services

HavenClaw integrates with third-party services including Anthropic (AI models), Slack, WhatsApp, and Signal. Your use of these integrations is subject to those services' respective terms. We are not responsible for third-party service outages, policy changes, or data handling practices.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice for planned maintenance when possible.

10. Limitation of Liability

To the maximum extent permitted by law, HavenClaw shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that AI agent outputs will be accurate, complete, or suitable for any particular purpose.

12. Termination

You may close your account at any time from the dashboard. We may suspend or terminate your account for violation of these terms, non-payment, or at our discretion with reasonable notice. Upon termination, your agents will be stopped and your data will be deleted in accordance with our Privacy Policy.

13. Changes to Terms

We may modify these Terms of Service at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.

14. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
